How it works

Avoid suspension of your LLC.

The law:

You must complete the NY LLC publishing requirement within 120 days or else your LLC will be suspended.

The details:

Within 120 days of formation of a New York LLC, the LLC must publish a notice in two (2) newspapers designated by the county clerk (one weekly, one daily), once a week, for a period of six (6) consecutive weeks. There are a myriad of rules and regulations which must be followed to a "T". Any missteps, errors, or typos will cause you to have to start the process all over again.

Some examples:

(a) The notice must contain certain information, and it must be precise. Any deviation will be rejected by the state.

(b) The notice must be published "as though the copy or notice were a notice or advertisement of judicial proceedings." If you don't know what that means, let someone who knows handle it.

(c) The newspaper affidavits must be 100% complete and accurate, or else they will be rejected by the state.

(d) The affidavits of publication must be included with a properly completed Certificate of Publication and filed with the state along with the required fee.
